1. General provisions

  1. These Terms set the rules of using the SocialFox platform at socialfox.pl and at the workspace addresses in the socialfox.pl domain ("SocialFox", "Platform").
  2. The service provider is Alfabet Marki sp. z o.o., ul. Strzałowa 13K/1, 87-100 Toruń, Poland, tax ID (NIP) 956 239 91 18, KRS 0001147842, e-mail: [email protected] ("Provider", "we").
  3. The Terms are the terms of providing services by electronic means within the meaning of the Polish Act of 18 July 2002 on providing services by electronic means.
  4. SocialFox is a tool for businesses: marketing agencies and marketing teams that run their own or their clients' social media. It is not a consumer service.

2. Definitions

  • Agency: a business that created a Workspace and entered into an agreement with us on these Terms.
  • Workspace: the Agency's separate environment in SocialFox at its own address (e.g. name.socialfox.pl), with its team, clients, content and settings.
  • Owner: the person who created the Workspace or to whom the Agency handed that role; represents the Agency towards us.
  • User: any person with a SocialFox account: a member of the Agency's team or a person named by the Agency's client (client portal).
  • Agency Client: an entity whose social media the Agency runs in SocialFox.
  • Social Platforms: external services SocialFox connects to: Facebook and Instagram (Meta), LinkedIn, TikTok, YouTube (Google).
  • Plan: the package of features, limits and AI points the Agency chose for the Workspace.
  • Points: the unit of AI features; every Plan has a monthly pool and points can be bought.
  • Content: posts, texts, photos, videos, comments, replies, messages and other materials in a Workspace.

3. What SocialFox offers

Within a Workspace SocialFox lets you:

  • plan, prepare and publish Content on the Agency Clients' profiles on the Social Platforms;
  • send Content for approval to Agency Clients and approve it (client portal);
  • read comments and messages of connected profiles, reply to them, hide or delete them;
  • view post statistics and build reports;
  • use AI features (suggested texts, replies, graphics and publication plans) within the Points;
  • run tasks and pass materials between an Agency Client and the team;
  • use help: the knowledge base, tickets and the assistant.

The features and limits (clients, team members, connected accounts, storage) are set by the Plan. The current description of the Plans is in SocialFox under Settings → Plan and payments.

4. Creating a Workspace

  1. A Workspace is created by registering at socialfox.pl/en/register. Registration may be open or by invitation only, which the registration page says. Without a valid invitation, invitation-only registration is refused.
  2. Registration requires confirming the e-mail address. After the confirmation the Owner names the Workspace and picks its address. The address can be changed once in 30 days; the previous address redirects for 30 days.
  3. We may make the launch of a Workspace conditional on our approval; until then the Workspace has the status "pending". We inform about the approval by e-mail.
  4. The agreement to use SocialFox is concluded when the Workspace is launched and lasts until it is deleted.
  5. The Owner declares that they act on behalf of the Agency and are authorised to do so.

5. User accounts

  1. Accounts of team members and of persons on the Agency Clients' side are created by the Owner or a Workspace administrator by sending an invitation. The Agency is responsible for whom it grants access.
  2. A User protects their sign-in data and does not share the account. A suspected unauthorised access is reported to the Agency and to us at once.
  3. A Workspace may require signing in with a second factor (an authenticator app). A code from an e-mail is an emergency factor for 24 hours; we inform the Owner about its use.
  4. The Agency may withdraw a User's access at any time. A User may ask for the deletion of their account under Help → Tickets.
  5. We may block an account that violates the Terms, the law or the rules of the Social Platforms, or that threatens the security of the Platform. We inform the Owner about a block.

6. Technical requirements

Using SocialFox requires: a device with internet access, a current browser (e.g. Chrome, Safari, Firefox, Edge) with JavaScript enabled, an active e-mail address and, when the Workspace requires it, an authenticator app (TOTP). Some features, e.g. video editing, work only in newer browsers.

7. Rules of use

  1. A User uses SocialFox in line with the law, the Terms and good practice.
  2. Providing unlawful content is forbidden, in particular content infringing third-party rights (including personal rights and copyright), as well as offensive or misleading content.
  3. A User publishes Content only on profiles the Agency is authorised to use.
  4. A User follows the rules of the Social Platforms, in particular:
  5. Circumventing SocialFox's security, automated data extraction outside the provided interfaces, attempts to access other Workspaces and loading the Platform beyond ordinary use are forbidden.
  6. The Agency is liable for the actions of the Users of its Workspace as for its own.

8. Approval of Content by an Agency Client

  1. Content prepared by the team may be sent to an Agency Client for approval in the client portal.
  2. An approval in SocialFox means the Agency Client's consent to publishing the Content in the approved form and at the approved time. The relationship between the Agency and its Client is governed by their own agreements; we are not a party to them.

9. Plans, trial and payments

  1. A new Workspace gets a trial on the Plan and for the time stated at registration (by default 14 days of the Agencja plan). The trial needs no card.
  2. After the trial without choosing a Plan the Workspace goes read-only: publishing, synchronisation with the Social Platforms and AI features are paused; the data stays readable. After 90 days of read-only the Workspace is marked for deletion and the data is deleted as in section 15.
  3. The Plan is chosen by the Owner or a Workspace administrator under Settings → Plan and payments. The Plan fee is monthly, paid in advance and charged automatically to the card until cancellation. Prices are shown in SocialFox; they are net prices, VAT is added.
  4. The Plan's Points are granted at the start of every calendar month; unused points do not carry over. Bought points do not expire while the Workspace exists. Points are non-refundable.
  5. Payments are handled by Stripe Payments Europe, Ltd. We do not store card numbers. The Agency gives its invoice data (name, tax ID, address) at payment and can change it in the payment portal.
  6. We issue a VAT invoice after every payment and send it to the invoice e-mail address given in the Workspace.
  7. An upgrade works at once with a pro-rated charge; a downgrade from the next billing period. The new Plan's limits apply from its start; what is over the limit stays, but nothing more can be added.
  8. The Plan can be cancelled at any time in the payment portal; it runs until the end of the paid period, then the Workspace goes read-only (9.2).
  9. Missed payment: after a failed payment we retry it under Stripe's rules; if the payment fails, the Workspace goes read-only until it is settled.
  10. We may change the Plan prices with 30 days' notice by e-mail to the Owner; the change applies from the next billing period.

10. AI features and automated actions

  1. AI features produce suggestions: texts, replies to comments, graphics, publication plans and the help assistant's answers. Suggestions may contain errors.
  2. Before publishing, the User checks an AI suggestion. The Agency is responsible for published Content.
  3. Content passed to AI is processed by the providers named in the Privacy Policy. We do not train our own models on it.
  4. Automated actions (e.g. publishing at the scheduled time or a scheduled reply) are performed by SocialFox according to the Users' settings.

11. Content and rights

  1. The rights to the Content and materials of the Agency and its Clients belong to them or their licensors.
  2. The Agency grants us a non-exclusive licence to use these materials to the extent needed to provide the services (storage, processing and publishing on the indicated profiles) for the term of the agreement.
  3. Whoever uploads materials to SocialFox is responsible for holding the rights to them.
  4. Stock photos and graphics from external tools (e.g. Canva) are subject to their providers' licences.
  5. The SocialFox software, its look and its name belong to the Provider. The Agency may use its own logo in its Workspace; the white-label option is set by the Plan.

12. Help and support access

  1. We provide help in SocialFox (Help → Tickets and Chat) on working days in the hours shown in Help; outside them the AI assistant answers.
  2. Our team does not see the content of a Workspace. Access is opened only by the Owner or a Workspace administrator by passing on a code from Help → Support access. The access lasts 60 minutes, may be read-only, and can be revoked at any time. Every access is written to the Workspace's security log.

13. Availability and liability

  1. We take care of SocialFox's continuous operation but do not guarantee uninterrupted availability. We plan maintenance to disturb work as little as possible and announce it in Help where we can.
  2. SocialFox works through the Social Platforms' interfaces. We are not liable for their changes, outages and decisions, e.g. a rejected publication, reduced reach, a blocked account or changed features.
  3. To the extent permitted by law, our liability towards the Agency under the agreement is limited to the fees the Agency paid in the 12 months before the event and does not cover lost profits.
  4. The Agency indemnifies us against third-party claims arising from Content published by its Users.

14. Personal data

  1. The processing of personal data is described in the Privacy Policy: socialfox.pl/en/privacy-policy.
  2. For the data the Agency processes in its Workspace (its Clients' data, the data of persons commenting on and writing to the profiles, materials), the Agency is the controller and we are the processor. The terms are set in the Data Processing Agreement: socialfox.pl/en/dpa. It is part of the agreement between us and the Agency.
  3. Data deletion instructions: socialfox.pl/en/data-deletion.

15. Termination and deletion of a Workspace

  1. The Agency may end the agreement at any time by deleting the Workspace. Until this feature is available in SocialFox, the Owner requests the deletion under Help → Tickets.
  2. The deletion has a 30-day grace period in which the Owner may cancel it. After the grace period we delete the Workspace's data permanently, including destroying the Workspace's encryption key. Before the deletion the Owner may download an export of the data.
  3. We may terminate the agreement with 30 days' notice, and with immediate effect when the Agency grossly violates the Terms, the law or the rules of the Social Platforms, or when the Social Platforms require it.
  4. We may suspend a Workspace (no access for its Users, publishing paused) while a violation is clarified; we state the reason in SocialFox.

16. Security

Using services over the internet carries risks, e.g. password phishing, malware or impersonation. We never ask for a password or an authenticator code by e-mail or phone. Use a strong password, turn on the authenticator app and sign out on other people's devices.

17. Complaints

  1. Complaints about SocialFox can be filed under Help → Tickets or at [email protected].
  2. A complaint should describe the problem, the date it occurred and contact details.
  3. We reply within 14 days of receiving the complaint.

18. Changes to the Terms

  1. We may change the Terms for important reasons, e.g. changes in the law, the rules of the Social Platforms, SocialFox's features or the Plans.
  2. We announce changes in SocialFox or by e-mail at least 14 days before they take effect. Whoever does not accept the changes may end the agreement before that date.

19. Final provisions

  1. Matters not covered here are governed by Polish law.
  2. Where the Terms and a separate written agreement with the Agency differ, the agreement prevails.
  3. Disputes are settled by the court competent for the Provider's seat.
  4. The Terms are available at socialfox.pl/en/terms-of-service. The Polish version prevails in case of discrepancies.
